GRANTHAM’S WHARF ASSOCIATION

CONSTITUTION

  1. The name of the society is GRANTHAM’S WHARF ASSOCIATION.
  2. The purpose of the Society is to maintain a wharf at Grantham’s Landing for use by the
    community.

BY-LAWS

Membership

  1. The members of the society are the subscribers to the Constitution and the By-Laws and
    all applications for membership shall be submitted to the Board of Directors, and upon
    approval by the board the applicant shall become a member.
  2. Membership is by annual donation and the approval by the Board of Directors. If a
    member fails to make their donation, they will be removed from the list of current
    members and may be readmitted to membership upon payment.
  3. Only current paid up members may vote at an AGM or extraordinary meeting.
  4. The AGM shall be held in early fall and will be held in the community area. Other
    meetings of the membership or Board, whether general or special, shall be convened by
    the Board of Directors at anytime in the community area.
  5. Advance notice of any AGM or extraordinary meeting of a minimum of two (2) weeks
    shall be given.
  6. Votes of the members must be given in person, and each member household has one
    vote.
  7. At any AGM or extraordinary meeting, a quorum of 10% of the current voting members is
    required. Simple majority (51%) of the votes at that meeting is required to decide a
    motion passes, unless it is an extraordinary resolution which requires 2/3 (67%) of the
    votes.

Board of Directors

  1. The affairs of the Society shall be managed by a board of three (3) to six (6) Directors,
    each of whom at the time of his/her election and throughout their term of office shall be a
    member of the Society.
  2. The voting members will vote in person for three (3) to six (6) directors annually.
    Directors will be elected or appointed to the following Board positions: president; vice
    president; secretary; and treasurer or director at large. A newer Grantham’s Landing
    resident (living in Grantham’s 2 years or less) should be included on the Board
    whenever feasible.
  3. Each director agrees to stand for a two-year term and may stand for re-election any
    subsequent term.
  4. The quorum for the Board of Directors to meet and vote is 60% (example: 3 of 5
    directors)
  5. For the purpose of carrying out the objectives of the Society the Directors may borrow or
    raise or secure the payment of money in such manner as they think fit and, in particular,
    by the issuing of debentures, provided the debentures shall not be issued without the
    sanction of an extraordinary resolution of the Society.
  6. The Board of Directors may, from time to time, initiate or approve GWA support of other
    Grantham’s community-building initiatives.
  7. The Board of Directors may from time to time appoint an auditor or auditors to hold office
    for such period as the Directors may determine.
  8. The Board of Directors may adopt a seal which shall be the common seal of the society
    and under the control of the Directors.
  9. The By-laws of the Society shall not be altered or added to except by an extraordinary
    resolution of the Society. For all purposes of the Society “extraordinary resolution” shall
    mean a resolution passed by a majority of such members entitled to vote as are present
    in person at a general meeting of which notice, specifying the intention to propose the
    resolution as an extraordinary resolution has been given, such majority being two-thirds.
  10. The Directors shall see that all necessary books and records of the Society required by
    the By-laws of the Society or by applicable statute or law are regularly and properly kept.
  11. The Directors shall from time to time determine whether and to what extent and at what
    times and places and under what conditions or regulations the accounts and books of
    the Society or any of them shall be open to the inspection of members not being
    directors and no member (not being a Director) shall have any right to inspect of any
    account or book or document of the Society except as conferred by law or authorized by
    the Directors or by resolution of the members, whether previous notice thereof has been
    given or not.
